Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ratifyly (the “service”), a real-estate comparative market analysis (CMA) and AI-assisted transaction-compliance platform operated by Ratifyly (“we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

Ratifyly is currently offered as a free beta. The service is provided on an “as is” and “as available” basis and may contain bugs, errors, or incomplete features. Functionality, pricing, and availability may change, be suspended, or be discontinued at any time without notice. You should not rely on the service as your sole system of record and should keep your own copies of important documents and data.

You must provide accurate information when registering and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any unauthorized use. You are responsible for ensuring that everyone you allow to access your account complies with these Terms. You must be at least 18 years old and authorized to enter into these Terms on behalf of yourself or your brokerage.

You agree not to:

• Upload content you do not have the right to submit, or that infringes others’ rights;
• Upload unlawful, malicious, or harmful content, or attempt to introduce malware;
• Use the service to violate any law or professional or fair-housing obligation;
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the service;
• Resell, sublicense, or use the service to build a competing product;
• Interfere with other users’ access to or security of the service.

You retain ownership of the documents and data you upload (“Your Content”). You grant us a limited license to host, process, and analyze Your Content solely to provide and improve the service, including sending it to AI sub-processors as described in our Privacy Policy. You represent that you have the rights and any necessary consents to submit Your Content and to have it processed this way.

The service, including its software, models, design, and brand, is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service in accordance with these Terms. All rights not expressly granted are reserved.

Ratifyly is a decision-support tool. CMA valuations, extracted data, and compliance flags are generated automatically — including by AI — and may be inaccurate, incomplete, or out of date. The service does not provide legal, financial, appraisal, tax, or brokerage advice, and no CMA constitutes a formal appraisal. You are solely responsible for reviewing all output and for your professional decisions and compliance obligations.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE THE SERVICE IS CURRENTLY FREE, YOU ACKNOWLEDGE THIS LIMIT MAY BE US$100.

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, Your Content, or your violation of these Terms or any law or third-party right.

You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the service. Upon termination, your right to use the service ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Virginia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
